Welcome to The Social Nest Co. By engaging our services, you agree to the following Terms & Conditions. Please read the Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to become bound by the Agreement. If you do not agree to all the terms of the Agreement, then you may not access or use our Services.
1. Scope of Work
The services provided by The Social Nest co. include, but are not limited to: Social media strategy development, Content creation and scheduling Audience engagement management, Analytics tracking and reporting, Optional paid ad campaign management. Any additional services requested will require a new agreement or amendment to the current contract.
2. Client Responsabilities
Where use of our Services requires an account, you agree to provide us with complete and accurate information when you register for an account and keep the information current. This is important because sometimes we may need to send you notable updates (for example, about changes to our Terms of Service or Privacy Policy), or we may want to let you know about and make informed choices in response to legal inquiries or complaints. You will be solely responsible and liable for any activity that occurs under your account. You are responsible for keeping your account information up-to-date and for keeping your password secure. You are responsible for maintaining the security of your account and any Service related website, store, or other content, and you are fully responsible for all activities that occur under your account and any other actions taken in connection with our Services. You shall not share or misuse your access credentials. You must immediately notify us of any unauthorized uses of your account, store, or website, or of any other breach of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

We have not reviewed, and cannot review, all of the content (including but not limited to text, photos, videos, audio, code, computer software, items for sale, or other materials) posted to our Services by users or other parties, and we are not responsible for any use or effects of such content. For example, we do not endorse any content or guarantee that it is accurate, useful, or appropriate. Content may be offensive, indecent, or objectionable; contain technical inaccuracies, typographical errors, or other mistakes; or violate the privacy, publicity rights, intellectual property rights, or other proprietary rights of third parties. If you post content, comment on a website, or otherwise make (or allow others to make) content available on our Services, you are solely responsible for the content and any consequences resulting from it. We disclaim any responsibility for any harm or issues arising from the use, purchase, or reliance on such content. 5. Fees, Payment, and Renewal
a. Payment Terms
The cost of services depends on the specific requirements of your business, as all services are customizable to meet your unique needs. Payments are non-refundable once services commence. Late payments may incur a $5 per day after the due date.
b. Revisions and Edits
Clients are entitled to 2 revisions per piece of content. Additional revisions will be charged at $40 p/post. Revisions must be requested within 3 days of receiving drafts.
c. Fee Changes
We may change our fees at any time, or start charging fees for Services that were previously free. When applicable, we may give you advance notice of the fee changes. If you don’t agree with the fee changes, you must cancel your Paid Service.
d. Refunds
Our services are NON-Refundable. However, if you wish to discontinue the service, you may cancel by providing one month's notice.

e. Additional Services
Services outside the Social Media Management scope, such as branding support, incorporating SEO keywords, or creating tailored marketing plans will be quoted separately based on the specific requirements. Clients will be informed olf any additional costs befor work begins.
6. General Representation and Warranty
You represent and warrant that your use of our Services will be in strict accordance with these Terms:• will comply with all applicable laws and regulations (including, without limitation, all applicable laws regarding online conduct and acceptable content, privacy, data protection, the transmission of technical data exported from the United States or the country in which you reside, the use of financial services, notification and consumer protection, unfair competition, and false advertising);• will not use the Services for any unlawful purposes, to publish illegal content, or in furtherance of illegal activities;• will not infringe or misappropriate the intellectual property rights of any third party;• will not overburden our systems, as determined by us in our sole discretion;• will not disclose sensitive personal information of others;• will not be used to send spam or bulk unsolicited messages;• will not interfere with, disrupt, or attack any service or network; and• will not be used to create, distribute, or enable material that is - or that facilitates or operates in conjunction with - malware, spyware, adware, or other malicious programs or code.
7. Copyright Infringement
If you believe that material located on or associated with one of our products or services violates your copyright, please notify us. We will respond to all such notices, including as required or appropriate by removing the infringing material or disabling all links to the infringing material. We will terminate a visitor’s access to and use of the website if, under appropriate circumstances, the visitor is determined to be a repeat infringer of the copyrights or other intellectual property rights of our service. In the case of such termination, we will have no obligation to provide a refund of any amounts previously paid to us. All content created by The Social Nest co. will remain in the intellectual property of the client after full payment has been received. The Social Nest co. reserves the right to include created content in their portfolio unless otherwise agreed upon.​

Any trademarks, service marks, graphics, and logos used in connection with our Services are the intellectual property of The Social Nest Co. or third-party licensors. Clients may not reproduce, duplicate, or exploit any content without prior written consent.
9. Changes
We are constantly updating our Services and that means sometimes we have to change the legal terms under which our Services are offered. If we make changes that are material, we will let you know by posting on one of our blogs, or by sending you an email or other communication before the changes take effect. The notice will designate a reasonable period of time after which the new terms will take effect. If you disagree with our changes, then you should stop using our Services within the designated notice period, or once the changes become effective. Your continued use of our Services will be subject to the new terms. However, any dispute that arose before the changes shall be governed by the Terms (including the binding individual arbitration clause) that were in place when the dispute arose.
10. Confidentiality
The Social Nest co. will maintain the confidentiality of all client data, content, and business information shared during the course of this agreement.As we ask others to respect our intellectual property rights, we respect the intellectual property rights of others.
11. Termination Policy
Either party may terminate the agreement with 30 days's written notice. Any work completed up until the termination date will be billed, and payments made are NON-refundable.
12. Performance Disclaimer
While The Social Nest co. strives for optimal results, we cannot guarantee specific outcomes (e.g follower count, sales increase) due to factors outside our control, such as platform algorithms and audience behavior.
13. Limitation of Liability
To the maximum extent permitted by law, The Social Nest Co. shall not be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to the use of our Services. In any event, The Social Nest Co.’s total liability shall not exceed the total amount paid by the client for Services rendered within the three (3) months preceding the date the claim arose.
14. Indemnity
The client agrees to indemnify, defend, and hold harmless The Social Nest Co., its employees, contractors, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
• The client’s use of our Services;
• Any breach of these Terms of Service;
• Any infringement of third-party intellectual property or privacy rights caused by the client’s content or use of our Services;
• Any unauthorized use of the Services by the client or their representatives.
15. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Queensland, Australia.
16. Force Majeure
The Social Nest Co. shall not be held liable for any failure or delay in performing its obligations under these Terms of Service due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, internet or telecommunications failures, strikes, or pandemics. If such an event continues for more than thirty (30) days, either party may terminate the agreement by providing written noti
17. Notification of Changes
The Social Nest Co. may update these Terms of Service from time to time. Any material changes will be communicated via email or posted on our social media ( Instagram, Facebook, Pinterest, LinkedIn). Clients are encouraged to review this page periodically. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
